are we in trouble for nonprofit?

niyo asked:

We are a newly incorporated nonprofit and was fortunate enough to work with an organization that willing to be our sponsorship until we get tax exemption. however, we realize within the 2 months of partnership, we feel that we are not satisfied to work and have them as a sponsor/partner so we wrote a formal termination agreement letter telling them we no longer wish to cooperate with them.

It is an oral agreement cooperate with community development projects, and we agreed that once we have tax exemption, we will no longer be with them. Beginning, the work was great but soon after they trying to control us.

They claim that our action can damage their organization by 1. they might lose their 501(3)C status, 2. they might lost their donor and sponsor whom know about the partnership.

can our action jeopardize their organization? can they sue us? what other appropriate steps can we take to end this peacefully?

oh, they willing to negotiate to give us more benefit but we stay firm and don’t want to cooperate with them more.
